MEMORANDUM OF FOUNDATION

of

THE NATIONAL FOUNDATION OF MENTAL HEALTH

 

 

  1. The name of the Foundation is “ The national Foundation of Mental Health”.

  2. The registered office of the foundation will situate within the territory of Bangladesh, at present at 13/19, Babor Road, Block B, Mohammadpur, Dhaka 1207 Temporary.

The objectives for which the Foundation is established are:

a) It is a Non-profit Voluntary service organization for the benefit and services to the Patients suffering from Mental disorders.

b)To promote positive Mental Health by educating and motivating public by taking preventive and other appropriate measures.

c)To study the courses, treatment and rehabilitation of patients suffering from Mental disorders and to provide information concerning the same.

d)To act as advisory body to safeguard the social, economic and legal interests of mentally disordered persons.

e)To promote lectures, discussion and correspondence on mental illness and associated disorders for the information and benefit of patients and the public generally.

f)To co-operate with any similar association for furtherance of the objectives of the Foundation.

g)To undertake and promote research work on Mental Health.

h)To provide, assist, furnish, equip, maintain and manage, either directly or by arrangement with any person, corporation or Institution:

      i.  Convalescent homes:

      ii. Homes and Institutions for Nurses:

      iii. Boarding Houses / Half way Hostels:

      iv. Restaurants and refreshment rooms:

       v. Schools and educational facilities.

      vi. Laboratories, research Institutions and clinics for benefit of mentally ill patients on such terms and conditions        as the Foundation may prescribe.

i) To employ suitable personnel for the purpose aforesaid.

j) To educate and train doctors, students and nurses, psychologists, social workers, occupational therapists in specialty courses and to provide/ promote scholarship in connection therewith.

k) To provide, make and supply such medical and other appliances, goods, stores, drugs, provisions and necessaries as may be required for the purpose aforesaid.

l) To facilitate the manufacturers and distribution of articles including foods and beverages for the use of patients.

m) To print, publish and circulate any news paper, periodicals, books and pamphlets that the Foundation may think desirable for the promotion of its objectives and to make documentary films on mental health and to use other audiovisual information media like Television, Radio etc.

n) The Foundation may take appropriate steps to raise funds to fulfill its objectives.

o) To provide a superannuation fund for grant, pension, gratuities and other moneys to the salaried officers and servants employed by the Foundation or otherwise to assist such salaried officers and servants, their widows and children.

p) To purchase, take on lease or in exchange, hire or otherwise acquire any real or personal property any rights or privileges which the Foundation may think necessary or convenient for the promotion of its objectives and to construct, maintain and alter any building or erection necessary or convenient for the work of the Foundation.

q) To sell, let, mortgage, dispose offor turn to account or any of the property or assets of the Foundation as may be thought expedient with a view to the promoting of its objectives.

r) To undertake and execute any trusts which may lawfully be undertaken by the Foundation and may be conducive to its objectives.

s)To borrow or raise money for the purpose of the Foundation on such security as may be thought fit.

t) To invest the money of the Foundation not immediately required for its purposes in or upon such investments, securities of property as may be thought fit.

u) To establish and support or aid in the establishment and support of any charitable associations or institutions and to subscribe or guarantee money for charitable purposes in any way connected with the purposes of the Foundation or calculated to further its objectives.

v) To do all such other things as are incidental or conducive to the attainment of the above objectives.

All income of the Foundation shall be applied towards the promotion of the objectives of the Foundation and no portion thereof shall paid or transferred directly or indirectly by way of dividend, bonus or otherwise. This shall not prevent payment in good faith of remuneration in return for any services actually rendered.

In the event of the Foundation being wound up all assets after meeting liabilities shall be transferred to some other institution having objectives similar or analogous to these of the Foundation.

The First Executive Council will be responsible for the management of the affairs of the Foundation and shall be entrusted with the responsibility till the annual General Meeting of The Foundation will be held.

 

ARTICLES OF FOUNDATION / ASSOCIATION

 

1. The business of the Foundation shall include all or any of the several objectives expressed in the Memorandum of Foundation.

2. The jurisdiction of the Foundation shall cover the entire territorial area of the People’s Republic of Bangladesh.

 

3. Head Quarter / Branches:

a)The Head Quarter of the Foundation shall be at Dhaka.

b) The Foundation shall consist of :

i. General Body which will be formed by members of the Foundation.

ii. Executive council

Branches: Which may be named after the places where they may be located.

 

 

4.a)The Executive Council shall be elected by the General Body in a manner herein after provided.

 

b) The Executive Council may establish or affiliate branches in the districts and sub-divisions within its jurisdiction. Such branches shall have an Executive Committee elected by them annually.

 

5. Membership:

a) The membership of the Foundation shall be open to all adult citizens of Bangladesh with sound mind and not below the age of 25 years who shall undertake to abide by these presents and shall pay into the funds of the Foundation such subscription and fees as may be provided herein after.

b) For the purpose of the presents, a member, wherever enrolled or registered shall belong to such branch or within these jurisdiction he/she may be residing for the most part of the year.

c) Every applicant for admission to membership of the Foundation shall send to the Branch or to such person as the branch shall from time to time direct for such purpose, a written application in prescribed form.

d) The branch shall not be bound to give any person for accepting or refusing the application of any person for admission to membership of the Foundation.

e) The Executive Council may elect Chief Patron and Patrons from amongst persons who shall have made outstanding contribution to the cause of the Foundation. The Patrons so elected shall be members of the Foundation without voting rights.

f) The Executive Committee of the Branch shall be empowered to consider the application for membership and admit and enroll new members provided that the National Executive Council may revoke that membership of such persons as may be deemed proper by the Executive Council.

g) The members enrolled by the Branches shall be members of the National Foundation of Mental Health and enjoy such rights and privileges as may be contained herein after.

 

 

6.

a) Each member shall have to pay a fee of TK. 500as his/her admission fee.

b) There shall be three classes of members; Ordinary, Corporate and Life. Ordinary members shall pay an annual membership fee of TK. 6000 per annum. The Corporate member shall be an organization or institution which has been admitted as a member of the Foundation. The Annual fee for such members shall be TK. 150,000 only. Any person eligible for the membership of the Foundation may be enrolled as a Life member on payment of a lump donation of TK 25000.

c) All subscriptions shall be due and payable by the thirtieth day of January every year.

 

7. Rights and privileges of members

a) The members of the Foundation:

i. Shall be entitled to attend meeting of the General Body/ General Assembly of Branch as the case may be and shall be eligible for election to any elected body of the Foundation.

ii. Shall be entitled to receive all literatures, journals, informative materials free of cost or on payment of such fees as may be determined.

iii. Shall elect the Executive Council, Executive Committee and office bearers.

iv. Shall appoint Auditors in a manner as herein after provided.

b) The corporate member shall send a duly authorized representative to attend the meeting and such representative shall have the rights and privileges of an ordinary member for the purpose of the meeting.

c) Members of the branch shall elect Executive Committee andother office bearers for their own branch & two delegates to the General Body.

 

8. Cessation of membership:

       A member of the Foundation shall cease to be a member-

  1. If he/she is declared of unsound mind or found guilty of moral turpitude.

  2. If he/she shall have given notice in writing to the Executive council or such person as Executive Council shall from time to time direct for such purpose of his/her intention to resign his/her membership then as from the date on which such notice shall have been received by the Executive Council or by such persons as aforesaid.

  3. If any subscription payable by him/her as such members and remained unpaid for 6 months after the same shall have become payable and the Executive Council shall have the right to terminate his/her membership of the Foundation.

  4. If the Executive Council shall in writing request him/her to resign or determine his/her membership, then as from the date of such request or termination, that the Executive Council shall not be bound to give any reason therefore.

  5. Any person who shall cease to member of the Foundation shall not be relieved  thereby from any liability of the Foundation in respect of any subscription which shall have become payable by him/her before the date of his/her ceasing to be such member unless the Executive Council shall otherwise determine and the Executive Council may at any time , if they think fit, readmit him/her as a member.

  6. The Executive Committee of a branch local body may recommend to the Executive Council the expulsion of any member for activities prejudicial to the interest of the Foundation. The Executive Council may accept or reject such recommendation with or without assigning any reason.

 

 

9. Administration:

a) Save as herein provided the administration of the affairs for the Foundation shall be vested in the Executive Council who may delegate such powers, responsibilities and function to such bodies or persons of the National foundation of Mental Health or Branches as it deem expedient and fit.

b) Subject to the Control and supervision of the Executive Council: The Branch Executive Committee shall be responsible for the administration of the Branches.

c) Nothing herein contained shall however, prevent branch to initiate a project and realize funds that within the scope of the Foundation subject to the approval of Executive Council.

d) Subject to the provisions herein contained the Branches shall be autonomous units of the Foundation but the Executive Council may dissolve and replace an Executive Committee or appoint such persons to run the affairs of the body concerned, if it is satisfied that such Executive Committee either acting in a manner prejudicial to the interest and reputation of the Foundation or was a defunct or inactive.

 

10. Composition:

a) i. The Executive Council shall consist of 23 members elected in a manner provided herein after.

Number may be increased up to 31 when the number of branches will increase.

ii. The Executive Council shall have the following Office Bearers elected initially for 3 years by the General Council from amongst its members at the first meeting after its election and subsequently for two years.

Secretary General-One

Joint Secretary-Two

Treasurer-one

Members-Fifteen (15)

iii. At least three members of the Executive Council shall be from the Branches when Branches will be formed.

iv. Executive Council may set up such committee with such powers and functions as it may deem fit.

b) Executive Committee: The Executive Committee of a Branch of the Foundation shall consist of the Following:

President-One

Vice President-Three

Secretary General-One

Joint Secretary-Two

Treasurer-one

And Members not less than 8 or more than 10.

 

11. Meetings:

a) Executive Council:

i) The Executive council shall meet at least 4 times year at such time and place and to transect such business as may be notified by the Secretary General in consultation with the President.

ii. The General Body Meeting shall be called by the Secretary General of the Foundation in consultation with the President at such time and place and to transect such business as may be determined by the Executive Council at least once in a year.

b) Executive Committee of the Branches:

The Executive Committee of a Branch shall meet once in 3 (three) months at such place and time to transect such business as may be notified by the Secretary in consultation with the president of the respective branch.

c) Requisition meeting:

Extra-ordinary meeting of any of the above bodies may be convened by the Secretary General or the Secretary as the case may be, on written requisition but by not less than 2/3th of its total members. In the event of the Secretary General’s or Secretary’s failure to call such meeting within 21 days notice stating the purpose of the meeting.

d) The minutes of all meetings confirmed at the next meeting, shall be a valid document.

 

12. Notices:

a) All notices of the meetings shall specify the date, time, place and nature of business to be transected.

b) Fifteen days for Executive Committee and 21 days notice for the General Body Meeting shall be sufficient.

c) Emergency meeting of the Executive Council or Executive Committee of a branch to transect any emergent business may be called within 24 hours notice/by direct communication.

d) A notice may be served by the Foundation upon any member, either personally or by sending it through the post in a prepaid letter, addressed to such member at his registered address as appearing in the register of members.

e) Any member described in the Register of Members by the address not within the People’s Republic of Bangladesh, who shall from time to time give the Foundation an address within the People’s Republic of Bangladesh at which notice may be served upon him/her shall be entitled to have notice served upon him/her at such address but, save as aforesaid, no member other than a member described in the Register of Members by an address within the People’s Republic of Bangladesh shall be entitled to receive any notice from the Foundation.

f) Any notice if served by post, shall be deemed to have been served on the day following that on which the letter containing the same is put into the post, and in proving such service it shall be sufficient to prove that the letter containing the notice was properly addressed and put into the post office as a prepaid letter.

g) any notice required to be or which may be given by advertisement shall be advertised in two daily news papers or in the Journal of the Foundation.

 

13. Quorum:

a) The quorum for the Executive Council and Executive Committee meeting shall be 1/4th of the total number of members.

b) The General Body Meeting must have a quorum of 1/5th members.

c) If within half an hour from the time appointed for the holding of a General Meeting a quorum is not present, the meeting, if convened on the requisition of members, shall be dissolved. In any other case it shall adjourned to the same day in the next week, at the same time and place, or at such other place as the President / Chairman, and if at such adjourned meeting a quorum is not present within half an hour from the time appointed for holding the meeting , the members present shall be quorum.

 

14. Elections: General Body

​a) The Executive Council shall elect its Executive Council office bearers initially for 3 years at the first meeting and subsequently every 2 years but not later than 28 months from the last election. Provided that the outgoing Executive Council shall convene a joint meeting of the outgoing and incoming members of the Executive Council not later than 45 days after the completion of election to install the incoming Executive Council and make over charges to it and that after being installed the new Executive Council shall held its first meeting after the joint meeting.

b) The Branch of the Foundation shall elect its respective Executive Committee and office bearers every year at its Annual Meeting.

c) the Annual Meeting of the branches shall elect their respective Executive Committees and office bearers and two branch representatives to the General Body of the Foundation who shall have no subscription in arrear and in whose respect the branch shall have paid into the funds of the respective Branch Foundation, the fee as prescribed by art 27 (c).

d) The Executive Council may frame rules and procedures for all elections of the Foundation as and when deemed expedient.

e) In a poll every member present in person at the meeting shall have one vote and no proxy shall be admissible.

 

15. Proceeding of Meetings:

a) The Annual General Meeting of the General Body of the Foundation and its Branches shall consider the income and expenditure account and balance sheet, and Secretary General’s/Secretary’s report and the report of the Auditors and elect such members and office bearers as provided therein.

b) No business shall be transacted at any meeting unless a quorum is present when the meeting proceeds to business.

c) With the consent of any meeting of which a quorum is present, the Chairman may adjourn a meeting from time to time, and from place to place, as the meeting shall determine. Whenever a meeting is adjourned for ten days or more, notice of the adjourned meeting shall be given in the same manner as on an original meeting. Save as aforesaid, the members shall not be entitled to any notice of an adjournment, or of the business to be transacted at an adjourned meeting. No business shall be transacted at any transacted meeting other than the business which might have been transacted at the meeting from which the adjournment took place.

d) The President of the Foundation or Branches as the case may be, shall preside as chairman at every General Meeting, but if there is no such President, of it at any meeting he/she shall not be present. Or shall be unwilling to preside, the members present shall choose some members of the Executive Council, or if no such member be present, or if all the members of the Executive Council present decline to take the chair, they shall choose some member of the Foundation who shall be present to preside.

e) At all General Meetings a resolution put to the vote of the meeting shall be decided on show of hands by a majority of the members present in person and entitled to vote. A declaration by the chairman of the meeting that a resolution has been carried, or has been carried by a particular majority, or lost, or not carried by a particular majority shall be conclusive, and an entry to that effect in the minute book of the Foundation shall be conclusive evidence thereof, without proof of the number or proportion of the Votes recorded in favor of or against such resolution.

f) In case of an equality of votes, the Chairman of the meeting shall be entitled to a casting vote.

g) Save as herein expressly provided no person other than a member duly registered, and who shall have paid every subscription and other sum (if any) which shall be due and payable to the Foundation in respect of his/her membership, shall be entitled to be present or to vote on any question at any General Meeting.

 

16. Executive Council:

a) The Executive Council of the National Foundation of Mental Health shall be the supreme authority in all matters of the foundation and its branches. It may function either directly or through such committees, office bearers or members of the Council as it may deem fit, delegation all or any of the powers and responsibilities vested on it.

b) The Executive Council may elect a Sub-Committee with not more than 5 members including the President and the Secretary General to look after the day- to –day affairs of the Foundation delegating such powers and responsibilities as it may deem fit.

c) The Council shall control, supervise, direct and guide the activities and affairs of the branches in manner as it may lay down from time to time in conformity with these presents.

d) Ordinarily the Executive Council shall:

i. coordinate the activities of the branches of the Foundation.

ii. Represent the Foundation to the Government of the People’s Republic of Bangladesh and its agencies and to the International Bodies Agencies.

iii. Maintaining International Relations within the scope of the Foundation.

iv. Administer technical and financial assistance to its branches with its resources in a manner it deem expedient.

v. Plan, organize and implement research projects and service projects such as hospitals, rehabilitation centers, pension homes, model villages and other settlements for the mental disorders persons.

vi. Receive and disburse aids and all other types of assistances in cash or kind from National and International sources.

vii. Convene National or International conferences on medical and social welfare subjects for the benefit of the professionals and the patients.

viii. Conduct and impart post-graduate education to medical graduates in Mental Disorder and to Psychologist, Social Worker, Nurses graduated in their respective subjects.

ix. Suspend or dissolve such Executive Committee of a Branch as may be found, in the opinion of the Executive Council, either defunct, inefficiently run or engaged in activities detrimental to the interest and reputation of the Foundation and nominate such person or persons to conduct the affairs of the branch concerned till such time as on Executive Committee may be properly elected in its place.

x. In the event of the suspension or dissolution of an Executive Committee, the Executive Council shall cause a fresh election of the Executive Committee to be held within 90 days of such action and shall supervise the election of and install the Executive Committee in such manner as it may deem fit but not in contravention of these presents.

xi. Confirm or consider the membership of those enrolled by the branches as referred to it.

xii. Do such other things as may be conducive to the realization of the objectives of the Foundation.

e) Nothing in these Articles shall prevent the Executive Council to take over such powers and perform such duties and responsibilities from the branches as it may deem fit with such notice to the branch as may think proper.

f) The Executive Council may suspend the operation of such of these Articles concerning the powers and functions of the Branches as it may deem expedient.

g) May convene joint meetings of the Executive Council and the branch Executive Committees to consider matters of great National Importance as and when deemed expedient and decision taken at such meetings shall be deemed to be the decision of the National Council.

h) Shall act as the appellate body to consider the dispute referred to it by the General Body or the Executive Committees of the Branches.

i. Shall receive and disburse all moneys realized on behalf of the Foundation exclusively for the benefit of the Foundation and create reserve fund or any other fund and/or invest such money of the Foundation in such securities as may be admissible by laws and as deemed proper.

j) Create, register and put into operation Trust, Advisory Council Standing Committees for such purpose of the Foundation with such terms, powers and functions as may be deemed expedient.

 

17. General Body:

a) All members of the Foundation and the Branch representative elected as such by their respective branches shall form the General Body of the Foundation.

b) The General body shall:

i) Be the supreme authority in all matters of the Foundation.

ii) At its Annual General Meeting elect its Executive Council’s office bearers and appoint Auditors in a manner herein provided.

iii) Consider and approve at the Annual General Meeting, the audited balance sheet and profit and loss account of the Foundation. General Body should provide financial support if possible to the Branch projects approved by the Executive Council.

iv) Consider to decide upon such matters of general policy as may be referred to it by the Executive Committee.

v) Shall elect patron from amongst persons in pursuance of sub-clause (e) of Art 5.

vi)Do such other things as may by conducive to the aims and objects of the Foundation.

 

18. Powers and Functions of the Executive Committee of Branches:

a) Branches should send report of the resolution and activities.

b) The Executive Committee shall be responsible for realization of the funds for the respective branch of the Foundation and proper administration and conduct of the business of the Foundation.

c) The Executive Committee shall frame rules, regulations of the respective branch of Foundation as the case may be as thought expedient.

d) Shall approve of the Secretary’s Annual Report, audited balance sheet and profit and loss account of the branch Foundation prior to being submitted to the Annual General Meeting.

e) Shall act as the appellate body for grievances of the staff of the Foundation on any action taken by the Secretary against them.

f) Shall open Bank Accounts and cause all money of the Foundation to be kept therein.

g) May create reserve funds or any other funds and/or invest such moneys of the Foundation as may not be immediately required for the purpose of the Foundation in such securities as may be admissible by law deemed proper.

h) To create, register and put into operation Trust, standing committees or sub-committees for specific purpose of the foundation with such terms, power and function as may be deemed expedient.

i) The Executive Committee may appoint such number of officials and staff on such terms as may be deemed fit to run the affairs of the Foundation properly.

 

19. Powers and Functions-Office Bearers:

Not withstanding whatever contained herein office bearers mentioned below will concern the body to which he/she is specially elected:

a) President: The President will preside over all meetings of the Foundation. His / Her interpretation  of Rules shall be deemed final. He/she shall guide, supervise and inspire the activities of the Foundation. While presiding over the meeting he/she shall have no vote of his/her own but shall have casting vote in case of equality of votes on any matter to be decided by vote.

b) Vice Presidents: The Vice Presidents shall have the same powers and duties as the President in the latter’s absence.

c) Secretary General: The Secretary general shall be the Executive Head of the Foundation with the following powers and duties:

  1.  The Secretary general shall be the Executive Head of the Administration. He /She shall have the right to appoint, suspend or dismiss salaried personnel drawing a monthly salary not exceeding TK. 10,000 but with prior written approval of the President. All matters relating to the appointment, suspentment or dismissal of salaried staff shall be placed before the Executive Council at the meeting after such orders.

  2. The Secretary General shall have the right to spend amount not exceeding TK. 20,000 with the approval of the President, provided that such expenditure shall be reported to the next meeting of the Executive Council.

  3. The Secretary General shall in consultation with the President convene the meeting of the Executive Council and the General Body and cause the minutes to be kept of all such meetings.

  4. Shall be responsible for keeping the books of accounts and office records in order and shall correspond on behalf of the Foundation on day to day affairs of the Foundation.

  5. Subject to the direction, control and supervision of the Executive Council General Body shall be responsible for the conduct of affairs of the Foundation.

  6. Shall submit annual report on the activities of the Foundation at the Annual General Meeting.

  7. Shall delegate such of his/her powers to the Joint Secretaries or any employee of the Foundation as he/she thinks proper.

  8. Shall do such other things as may be conducive to the aims and objects of the Foundation.

d) Joint Secretary: The joint secretary shall assist the Secretary General as required by the latter and one of the Joint Secretaries as assigned by the Secretary General shall act as the Secretary General in the latter’s absence not less that 30 days from the Head quarter.

e)Treasurer: The Treasurer shall maintain accounts and keep the funds of the Foundation in Bank approved by the Executive Council / Executive Committee. All accounts in a Bank thus selected shall be operated under the signature of the Treasurer & Secretary General/ Secretary or President.

The Treasurer shall present the audited accounts at the Annual General Meeting.

 

20. Proceedings of the Executive Council and Executive Committees:

a) The executive Council or an Executive Committee may meet for the dispatch of business, and adjourn and otherwise regulate their meetings as they think fit. If at any meeting the Chairman be not present within fifteen minutes after the time appointed for holding a meeting, the members of the Executive Council or Executive Committee present shall choose some one their members to be Chairman of the meeting.

b) A meeting of the members of the Executive Council or Executive Committee at which a quorum is present shall be competent to exercise all the authorities, powers and discretions by or under the regulations of the Foundation for the time being vested on the Executive Committee generally.

c) The Executive Council or Executive Committee may delegate any of their powers to committees consisting of such persons including non-members as they think fit providedthat i. majority of members of such committees shall be the members of the Foundation or that ii. No resolution of any such committee shall have any validity or effect unless passed by a meeting at which the majority of members present and entitled to vote and are members of the Foundation. In all other respects any committee so formed shall conform to any requirement imposed on it by the Executive Council or Executive Committee. The meeting and proceedings of any such committee shall be governed by the provisions of thesepresents for regulating the meetings and proceedings of the Executive Council or the Executive Committee so far as applicable and so far as the same shall not be superceeded by any regulation as aforesaid.

d) All acts bonafide done by any meeting of the Executive Council or in an Executive Committee or by any person acting as a member of the Council shall not withstanding it be afterwards discovered that there was some defect in the appointment of any such member or person acting as aforesaid or that theyor any of them were disqualified, he/she as valid as if every such person had been only appointed and was qualified to be a member of the Council.

e) The executive council, or an Executive Committee minutes to be made of the proceedings of all meetings of the Foundation and of the Council and of the Committees of the Council, and all business transacted at such meeting, and any such minute of any meeting, if purporating to be signed by the Chairman of the next succeeding meeting, shall be conclusive evidence without and further proofon the facts therein states;

 

21. Administration of Funds:

The Executive Council or the Executive Committee, as the case may be, shall keep proper books of account to be kept with respect to:

  1. The assets and liabilities of the Foundation.

  2. The sums of money received and expended by the Foundation and the matters in respect of which such receipt and expenditure take place; and

  3. All sales and purchases of goods by the Foundation.

 

22. The books of account shall be kept at the office, or at such other place or places as the Council or the Executive Committee shall think fit, and shall always be open to the inspection of the members of the Executive Council;

 

23. The Foundation in General Meeting may from time to time make reasonable condition and regulations as to the time and manner of the inspection by the members of the Foundation, or any of them, and subject to such conditions and regulations the books shall be open to the inspection of members at all reasonable time during business hours.

 

24. Once at least in every year the Executive council or the Executive Committee, as the case may be, shall lay before the General meeting an income and expenditure account for the period since the last preceding account together with a Balance sheet made up to the same date. Every such Balance Sheet shall be accompanied by a report of the Council or the Executive Committee and a report of the Auditors, and a copy of such account, balance sheet and reports shall, not less than seven days before the meetings, be sent to all persons entitled to receive notice of General Meeting in a manner in which notices are herein after directed to be served. The Auditor’s report shall be placed before the meeting and shall be open for inspection.

 

25. Audit:

Once at least in every year the accounts of the Foundation shall be audited and the correctness of the income and expenditure, account & Balance Sheet ascertained by one or more properly qualified Auditors.

26.

a) No member shall have the right to issue press statements about the policies of development schemes of the foundation without the previous approval of the President of Executive Council/ Executive Committee; Any member violating this condition will be liable to be removed from the membership of the Executive Council/Executive Committee.

b) appeal from the orders of the executive Committees of Branches shall lie with the respective General Assembly provided these do not relate to routine matters of Administration.

c)If for any reason the treasurer is unable to discharge his function as a treasurer Executive Council may appoint any member of Executive Council to act as a treasurer.

d)The supreme Appellate Body shall be the Executive Council of the Foundation.

 

27. Branches:

a) Branches of the Foundation may be set up in the district level and below that for the purpose of extending the field of its activities and realizing its aims and objects through them with application of Tk. 5000 initially.

b) The branch organization shall have specific jurisdiction and shall be governed by these presents and such rules and by-laws as may be framed by the Executive Council from time to time.

c) The branches shall enroll its own member, and shall pay into the funds of the national Foundation a fee of TK. 200 per year in respect of every member of the branch.

d) In the event of local branch being closed down or wound up all the assets ofsuch local branch shall be the properties of the Executive Council who may either appropriate the same to itself or distribute them to such other legal branch as it may think proper.

e) The Branches shall not incure any liability except with the approval of the Executive Council. The liabilities approved by the Executive Council shall be discharged by that body in the event of a local branch being wound up or closed down.

 

28. Amendment:

These present shall not be amended, altered, repealed or replaced except by 2/3rd majority of members present in General Body Meeting of which 21 days’ notice shall have been given stating the nature of amendments proposed . Certified to be the true copy of the Rules & Regulations of “National Foundation of Mental Health”

 

29. Dissolution of the Foundation:

(After meeting of the general body)- All assets, liabilities shall be transferred to some other institution having similar objectives, on the recommendation of 2/3rd majority of the members.
